Investing

Who is able to invest?

The range of products that area2invest addresses are available to private individuals, companies, financial institutions and financial intermediaries. Access to certain financial products depends on the investor category. This classification is based on regulatory requirements according to MiFID II. We take the legal requirements for client classification very seriously and classify investors on the basis of individual previous experience and knowledge of the investment sector. What is the minimum investment amount?

There is no minimum amount. The amount to be invested depends on the individual financial product you are interested in. You can see information about this directly on the product tiles or on the product details page. The minimum investment amounts are set by the issuer; area2invest has no influence on this.

How do we select the investment opportunities?

After the issuer and product supplier have provided all important information, our investor committee of financial experts will carefully review the information, and then decide whether the product will be listed on area2invest. This ensures maximum product quality.

What are my risks as an investor?

The securities and investments brokered by 21.finance AG via the internet platform “area2invest” are associated with special risks, up to and including a total loss of the capital invested. We expressly point out that certain financial products are highly volatile, over which we have no influence. The income generated in the past is not a reliable indicator for the future development of securities and investments. The risk of price and currency losses and of fluctuations in income due to unfavourable exchange rate developments for investors cannot be excluded. Reference is made to the detailed information in the General Terms and Conditions of 21.finance AG. You will also find information and risk warnings on the respective product detail pages.
In particular, we also draw attention to possible cluster risks if the investments are not sufficiently diversified. Financial products may be subject to high fluctuations in value, the extent of which may correspond to the amount invested. It is possible that investors may not receive back the invested amount or may not receive it back in full. It is also possible that investments made may not be immediately realisable under certain circumstances. It may therefore be difficult for investors to sell an investment, realise the profit or obtain reliable information about its value or the extent of the risk to which the investment is exposed.
If the purchase of the securities or the investments is financed with borrowed capital, e.g. by taking out bank loans, the risk structure of the investment will increase. Regardless of disbursements from the securities or investments, you would be obliged to service interest and costs of external financing from your other assets. We generally advise against external financing of investments.
21.finance AG expressly does not offer customers (investors and issuers) any financial, legal or tax advice in connection with a product. In order to determine whether a product meets the specific needs and risk expectations of the customer, we recommend contacting an independent financial and/or legal advisor. In addition, 21.finance AG recommends that clients consult an independent tax advisor for information on tax regulations in the client’s jurisdiction.

What information and documents do I need to register as a private person?

Information
  • Passport (for citizens of the Principality of Liechtenstein) or identity card / ID; physically available for online identity verification
  • Account and custody account information, including Bank Frick customer number if applicable
  • Tax number or tax identification number
  • If applicable, information on PeP status (start, function, degree of relationship, etc.)

  • For planned investments of over 100,000 (CHF / EUR): salary statement or other proof of assets
  • Profile image (optional)

What information and documents do I need to register as a corporation?

Information
  • UID / VAT number
  • Legal Entity Identifier Number (LEI)
  • Commercial register number / commercial register number incl. date of foundation
    Trade licences (optional)
  • Economically entitled persons / representative body of the company / trustee of the trust: personal data
  • incl. information on PeP status (start, function, degree of relationship etc.)
  • If further persons should have access to the area2Invest account E-mail and date of birth of the respective person
Documents (electronic for upload)
  • Beneficial owners / authorized representative body of the company/trustee of the trust: copy of passport / identity card

Financing

Which companies can be listed?

If you meet our financing criteria, you can usually place your product with us. The offer of area2invest is especially aimed at small and medium-sized companies. Typical financing requirements are between 5 and 20 million Euros. At the same time, there have been an increasing number of enquiries from young companies, but also from DAX companies. Our clients are all those who want to keep the costs in the financing process low and who want to access a broad pool of investors they are not yet familiar with.

Which product classes can be listed?

We offer a real 360° portfolio: Bonds, Funds, Shares and Structured Products – both securitised and tokenised. Issuers can decide individually whether they prefer public or private placements, and whether they want to offer their products to professional or non-professional investors.

How to submit a listing request ?

If you would like to place your offer with area2invest, the process works as follows:

  1. First you check if you meet our listing criteria.
  2. If this is the case, we ask you to complete and submit our form.
  3. Our experts will carefully examine your request and give you feedback on the basic assessment. If necessary, we will ask you for additional information.
  4. In the next step, we will be happy to discuss your request personally and review your documents in detail.
  5. The next step is then to directly sign the issuer agreement and set a schedule.
  6. After that the distribution of your product at area2invest will start. We attach great importance to speed and cost efficiency.

How is data security guaranteed at area2invest ?

To ensure the highest data security standards, we strictly comply with all regulations of the DSGVO. Your data is stored in an ISO 27001 certified data center in Germany.

What are the listing criteria?

Financial Product Providers (Banks, Asset Managers and other Intermediaries)

  • Under Authorization EU / EEA Authority
  • Sales approval and paying agency for the financial product
  • Willingness to meet publicity requirements

Companies (Industrial Companies, Service Providers, Project Developers)

  • Transparent and stable business and management structure
  • Capital requirement from CHF 3 million
  • Sustainable business model – proof of concept as a minimum requirement
  • Clearly understandable purpose of use of funds
  • Transaction processing exclusively via banks in the EEA and Switzerland
  • Positive due diligence and due care examination to bank standard (KYC, AML)
  • Minimum duration of the legal entity (e.g. company)
  • Annual financial statements and attestations
